  1.                WINPROXY LICENSE AGREEMENT
  2.  
  3. 1. NOTICE.  READ THIS AGREEMENT CAREFULLY. OSITIS SOFTWARE 
  4. IS WILLING TO LICENSE THE SOFTWARE TO YOU ONLY ON THE 
  5. CONDITION THAT YOU ACCEPT ALL OF THE TERMS CONTAINED IN 
  6. THIS END-USER LICENSE AGREEMENT.  YOU ACCEPT AND AGREE TO 
  7. BE BOUND BY THIS LICENSE AGREEMENT BY CLICKING THE ICON 
  8. LABELED "I ACCEPT" THAT IS DISPLAYED BELOW.  IF YOU DO NOT 
  9. AGREE TO THIS LICENSE, CLICK THE ICON LABELED "CANCEL," IN 
  10. WHICH CASE THE INSTALLATION WILL BE CANCELED. PROMPTLY 
  11. RETURN THE UNUSED SOFTWARE AND ALL ACCOMPANYING MATERIALS, 
  12. ALONG WITH PROOF OF PAYMENT, TO THE AUTHORIZED DEALER FROM 
  13. WHOM YOU OBTAINED IT FOR A FULL REFUND OF THE PRICE YOU 
  14. PAID.

  16. 2. OWNERSHIP AND LICENSE.  This is a non-exclusive license 
  17. agreement and NOT an agreement for sale, concerning the use 
  18. of WinProxy.  Ositis Software and its licensors continue to 
  19. own the copy of the computer programs, documentation, data, 
  20. and other content provided to you, and all other copies 
  21. that you are authorized by this Agreement to make (the 
  22. "Software").  Your rights to use the Software are specified 
  23. in this Agreement, and Ositis Software retains all rights 
  24. not expressly granted to you in this Agreement.  Nothing in 
  25. this Agreement constitutes a waiver of Ositis Software's 
  26. rights under U.S. or international copyright law or any 
  27. other federal or state law. All content accessed through 
  28. the Software is the property of the applicable content 
  29. owner and may be protected by applicable copyright law. 
  30. This license gives you no rights to such content.  
  31.  
  32. 3. PERMITTED USES.  You are granted the following rights to 
  33. the Software:   (a) Right to Install and Use.  You may 
  34. install the Software on one computer connected to one local 
  35. area network.  The Software is "installed" on a computer 
  36. when it is placed on a computer's hard disk or other 
  37. secondary storage device.  The Software is "in use" on a 
  38. computer when it is executed or loaded into the computer's 
  39. RAM or other primary memory.  Notwithstanding the 
  40. foregoing, no more than 250 clients on the local area 
  41. network may have access to the anti-virus protection 
  42. portions of the Software and accordingly, you shall disable 
  43. such portions if more than 250 clients have access to the 
  44. Software.  If you install the Software on additional 
  45. computers, or on more than one local area network, you must 
  46. acquire additional licenses.   (b) Right to Copy.  You may 
  47. copy the Software for back- up and archival purposes only, 
  48. provided that the original is kept in your possession and 
  49. that your installation and use of the Software does not 
  50. exceed that allowed in the "Right to Install and Use" 
  51. section above.

  53. 4. PROHIBITED USES.  You may not, without written 
  54. permission from Ositis Software:   (a) Use, copy, modify, 
  55. merge, or transfer copies of the Software except as 
  56. expressly authorized in this Agreement;   (b) Use any back-
  57. up or archival copies of the Software  (or allow someone 
  58. else to use such copies) for any purpose other than to 
  59. replace an original copy if it is destroyed or becomes 
  60. defective;   (c) Disassemble, decompile or "unlock," 
  61. reverse translate, or in any manner decode the Software for 
  62. any reason  (except as expressly permitted by applicable 
  63. law);   (d) Place the Software onto a server so that it is  
  64. accessible via a public network such as the Internet; or   
  65. (e) Sublicense, lease, or rent the Software.

  67. 5. LIMITED WARRANTY.   (a) Limited Warranty.  Ositis 
  68. Software warrants that, for thirty (30) days from the date 
  69. you acquired it from us or our authorized dealers (1) the 
  70. Software will perform substantially in accordance with the 
  71. user documentation accompanying the Software, and (2) the 
  72. media on which the Software is provided to you will be free 
  73. from defects in materials and workmanship under normal use 
  74. and service.   (b) Exclusive Remedies.  Ositis Software's 
  75. entire liability and your sole and exclusive remedy for 
  76. breach of the foregoing warranty shall be, at our option, 
  77. to either (1) return the price you paid for the software, 
  78. or (2) repair or replace the Software or media that does 
  79. not meet the foregoing limited warranty if it is returned 
  80. to us with a copy of your receipt.   This limited warranty 
  81. is void if failure of the Software is caused by accident, 
  82. abuse, or violation of this license agreement.  Any 
  83. replacement Software will be warranted as above for the 
  84. remainder of the original warranty period or thirty (30) 
  85. days from the date we ship it to you, whichever is longer.   
  86. (c) Warranty Disclaimer.  OSITIS SOFTWARE DOES NOT WARRANT 
  87. THAT THIS SOFTWARE WILL MEET YOUR REQUIREMENTS OR THAT ITS 
  88. OPERATION WILL BE UNINTERRUPTED OR ERROR-FREE.  TO THE 
  89. EXTENT ALLOWED BY LAW, WE EXPRESSLY DISCLAIM ALL EXPRESS 
  90. WARRANTIES NOT STATED HERE AND ALL IMPLIED WARRANTIES, 
  91. INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY AND 
  92. FITNESS FOR A PARTICULAR PURPOSE.  THE SOFTWARE IS NOT 
  93. FAULT-TOLERANT AND IS NOT DESIGNED, MANUFACTURED OR 
  94. INTENDED FOR USE OR RESALE AS ON-LINE CONTROL EQUIPMENT IN 
  95. HAZARDOUS ENVIRONMENTS REQUIRING FAIL-SAFE PERFORMANCE, 
  96. SUCH AS IN THE OPERATION OF NUCLEAR FACILITIES, AIRCRAFT 
  97. NAVIGATION OR COMMUNICATION SYSTEMS, AIR TRAFFIC CONTROL, 
  98. DIRECT LIFE SUPPORT MACHINES, OR WEAPONS SYSTEMS, IN WHICH 
  99. THE FAILURE OF THE SOFTWARE COULD LEAD DIRECTLY TO DEATH, 
  100. PERSONAL INJURY, OR SEVERE PHYSICAL OR ENVIRONMENTAL DAMAGE 
  101. ("HIGH RISK ACTIVITIES") OSITIS SOFTWARE SPECIFICALLY 
  102. DISCLAIMS ANY EXPRESS OR  IMPLIED WARRANTY OF FITNESS FOR 
  103. HIGH RISK ACTIVITIES. IF THIS SOFTWARE QUALIFIES AS A 
  104. "CONSUMER PRODUCT" UNDER THE MAGNUSON-MOSS WARRANTY ACT, 
  105. ANY IMPLIED WARRANTIES ARE LIMITED TO THIRTY (30) DAYS FROM 
  106. THE DATE YOU ACQUIRED THE SOFTWARE FROM OSITIS SOFTWARE OR 
  107. FROM OUR AUTHORIZED DEALER, AND THEREAFTER ANY IMPLIED 
  108. WARRANTIES ARE EXPRESSLY DISCLAIMED.  SOME STATES DO NOT 
  109. ALLOW LIMITATIONS ON HOW LONG AN IMPLIED WARRANTY LASTS, SO 
  110. THE ABOVE LIMITATION MAY NOT APPLY TO YOU. This limited 
  111. warranty gives you specific legal rights, and you may also 
  112. have other legal rights which vary from State to State.

  114. 6. LIMITATION OF LIABILITY.  OSITIS SOFTWARE'S (INCLUDING 
  115. OSITIS SOFTWARE'S LICENSORS) LIABILITY TO YOU FOR ANY 
  116. LOSSES SHALL BE LIMITED TO DIRECT DAMAGES AND SHALL NOT 
  117. EXCEED THE AMOUNT YOU ORIGINALLY PAID FOR THE SOFTWARE.  IN 
  118. NO EVENT WILL OSITIS SOFTWARE OR ITS LICENSORS BE LIABLE TO 
  119. YOU FOR ANY INCIDENTAL, INDIRECT, SPECIAL, OR CONSEQUENTIAL 
  120. DAMAGES (INCLUDING LOSS OF PROFITS), EVEN IF WE HAVE BEEN 
  121. ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. SOME STATES DO 
  122. NOT ALLOW THE EXCLUSION OR LIMITATION OF INCIDENTAL OR 
  123. CONSEQUENTIAL DAMAGES, SO THE ABOVE LIMITATION OR EXCLUSION 
  124. MAY NOT APPLY TO YOU.

  126. 7. UNITED STATES GOVERNMENT RESTRICTED RIGHTS.  This 
  127. section applies to all acquisitions of the Software by or 
  128. for the federal government.  By accepting delivery of the 
  129. Software, the government hereby agrees that the Software 
  130. qualifies as  "commercial" computer software as that term 
  131. is used in the acquisition regulations applicable to this 
  132. procurement and that the government's use and disclosure of 
  133. the Software is controlled by the terms and conditions of 
  134. this Agreement to the maximum extent possible.  This 
  135. Agreement supersedes any contrary terms or conditions in 
  136. any statement of work, contract, or other document that are 
  137. not required by statute or regulation.  If any provision of 
  138. this Agreement is unacceptable to the government, Vendor 
  139. may be contacted at Ositis Software, 6120 Stoneridge Mall 
  140. Drive, Suite 210, Pleasanton, CA 94588, (925) 225-8900.  If 
  141. any provision of this Agreement violates applicable federal 
  142. law or does not meet the government's actual, minimum 
  143. needs, the government agrees to return the unused Software 
  144. for a full refund. The following statement applies only to 
  145. procurements governed by DFARS Part 227.4 (OCT 1988): The 
  146. enclosed Software is provided with Restricted Rights -- 
  147. Use, duplication, or disclosure by the U.S. Government or 
  148. any of its agencies or instrumentalities is subject to 
  149. restrictions as set forth in subparagraph (c)(1)(ii)  [or 
  150. (i)] of the Rights in Technical Data and Computer Software 
  151. clause at DFARS 252.227-7013 (OCT 1988).  Contractor 
  152. Manufacturer is Ositis Software, 6120 Stoneridge Mall 
  153. Drive, Suite 210, Pleasanton, CA 94588.

  155. 8. EXPORT CONTROLS.  You acknowledge that the Software is 
  156. subject to the export control laws and regulations of the 
  157. United States and any amendments thereof.  You agree that 
  158. you will not directly or indirectly transfer the Software 
  159. except in compliance with all applicable U.S. export laws 
  160. and regulations.  
  161.  
  162. 9. TERMINATION.  This Agreement is effective until 
  163. terminated.  You may terminate this Agreement at any time 
  164. by destroying all copies of the Software in your possession 
  165. or by returning all such copies to Ositis Software.  This 
  166. Agreement and your right to use this Software automatically 
  167. terminate if you fail to comply with any material provision 
  168. of this Agreement.   Your license to use this Software also 
  169. terminates if you assign this Agreement to someone else.  
  170. Upon termination, you must stop all use of the Software and 
  171. must destroy any copies that remain in your possession.  
  172. Otherwise, the restrictions on your rights to use the 
  173. Software will end upon expiration of the copyright to the 
  174. Software.

  176. 10. MISCELLANEOUS PROVISIONS.  This Agreement will be 
  177. governed by and construed according to the substantive laws 
  178. of California [and not by the 1980 United Nations 
  179. Convention on Contracts for the International Sale of 
  180. Goods, as amended].  This is the entire agreement between 
  181. us relating to the Software and supersedes any prior 
  182. purchase order, communication, advertising, or 
  183. representation concerning the Software.  No change or 
  184. modification of this Agreement will be valid unless it is 
  185. in writing and is signed by Ositis Software. Canadian 
  186. Transactions: If you acquired this Software in Canada, you 
  187. agree to the following: The parties hereto have expressly 
  188. required that the present Agreement and its Exhibits be 
  189. drawn up in the English language./   Les parties aux
